These Terms of Use (“Terms”) govern your access to and use of the Good Works Legal Solutions website, content, programs, and services. By accessing our website or engaging our services, you agree to these Terms.

Good Works Legal Solutions provides governance design, legal literacy, education, consultation, and advisory services to nonprofit organizations. Our offerings may include:
Governance design and alignment support
Educational programs, workshops, and cohort-based labs

Ongoing advisory and capacity-building support
Not Legal Representation
Our services do not constitute legal representation. We do not provide legal advice, and no attorney–client relationship is created through your use of our website, programs, or services. Please review our Legal Disclaimer for additional information.
Service Agreements
Certain services are governed by separate written agreements that define scope, deliverables, timing, and fees. These Terms supplement, but do not replace, those agreements. In the event of a conflict, the applicable service agreement controls.
Fees, Cancellations, and Refunds
Fees for services are specified in applicable service agreements or program descriptions. Payment terms, including invoicing schedules and accepted payment methods, will be outlined at the time of engagement.
Unless otherwise stated in writing:
Fees are non-refundable once services have commenced.
For programs, workshops, or events that require advance registration, cancellation policies (including any deadlines for refunds or credits prior to commencement) will be stated at the time of registration.
If Good Works Legal Solutions cancels a program, workshop, or event, we will provide a refund or credit for any prepaid fees associated with the canceled portion, unless otherwise specified.
Intellectual Property and License
All content on our website and all materials we provide, including frameworks, methodologies, templates, written resources, videos, and course materials, are the intellectual property of Good Works Legal, Inc., and Good Works Legal Learning, LLC, and are protected by applicable copyright and intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to use materials provided to you solely for your organization’s internal governance and compliance purposes. This includes sharing materials with your board members, officers, staff, and professional advisors (such as auditors or consultants) as reasonably necessary for internal use.
You may not reproduce, publish, distribute, sell, license, or create derivative works for commercial purposes without our prior written consent.
Confidentiality, We treat information you share with us as confidential and proprietary to your organization and will not disclose it to third parties except as required by law or with your permission.
Because we do not provide legal representation, communications with us are not protected by attorney–client privilege.
Values, Alignment, and Appropriate Conduct
Good Works Legal Solutions is a mission-based organization grounded in values of integrity, clarity, respect, and responsible stewardship. We work with organizations and individuals whose conduct and objectives are consistent with these values.
Alignment
We reserve the right to decline or discontinue services if, in our judgment, an engagement is not aligned with our mission, values, or professional standards.
Respectful Conduc
Respect matters in how we treat one another across our website, programs, trainings, events, and advisory engagements. We respect people, missions, and viewpoints, including political or ideological perspectives that differ from our own.
We do not tolerate unprofessional, abusive, harassing, intimidating, or disruptive conduct toward our team, other participants, or partner organizations. We reserve the right to terminate participation, remove access, or ban individuals from our platforms or programs for violations of this provision. No refunds will be issued if access is terminated due to violations of this section.

Disclaimer of Warranties
Our website, services, and materials are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that our services will meet all expectations or that outcomes will be achieved, as governance and advisory work involves judgment, implementation, and factors beyond our control.
Limitation of Liability
To the fullest extent permitted by law, Good Works Legal Solutions is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our website or services.
Our total liability for any claim related to our services shall not exceed the fees paid by you for the specific service giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless Good Works Legal Solutions from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys’ fees) arising from your use of our website or services or your violation of these Terms.
Force Majeure
We are not responsible for delays, interruptions, or failure to perform resulting from events beyond our reasonable control, including but not limited to illness, natural disasters, acts of government, power or internet outages, or failures of third-party platforms or technology providers.
Dispute Resolution
Before initiating litigation, the parties agree to attempt to resolve any dispute arising out of or relating to these Terms or our services through good-faith mediation. If the dispute is not resolved through mediation, either party may pursue available legal remedies.
Termination
Either party may terminate a service engagement in accordance with the applicable service agreement. We reserve the right to suspend or terminate access to our website or services at our discretion, consistent with these Terms.
Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any disputes not resolved through mediation shall be brought exclusively in the state courts located in Rockland County, New York, or, if federal jurisdiction exists, in the United States District Court for the Southern District of New York, White Plains, New York.
Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Entire Agreement
These Terms, together with any applicable service agreement and our Legal Disclaimer and Privacy Policy, constitute the entire agreement between you and Good Works Legal Solutions regarding use of our website and services.
Changes to These Terms
We may update these Terms from time to time. Updates will be posted on this page with a revised effective date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
